AtlasXT Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between AtlasXT LLC, a Utah limited liability company (“AtlasXT,” “we,” “us,” or “our”), and the person or entity accessing or using the AtlasXT Services (“Customer,” “you,” or “your”).

By creating an account, accepting these Terms electronically, entering into an order or subscription referencing these Terms, or accessing or using the Services, you agree to these Terms.

If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. In that case, “Customer” and “you” refer to that organization.

1. The Services

AtlasXT provides software and related services for managing business relationships, information, workflows, projects, records, dashboards, integrations, communications, and related business activities.

The “Services” include AtlasXT’s websites, applications, software, APIs, integrations, hosted services, and related functionality made available by AtlasXT.

AtlasXT may add, modify, suspend, replace, or discontinue features from time to time.

2. Accounts

You are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account.

You must:

  • provide accurate account information;
  • maintain appropriate security for your credentials;
  • use appropriate access controls;
  • restrict unauthorized access;
  • promptly notify AtlasXT of suspected unauthorized access; and
  • ensure that users accessing your account are authorized to do so.

Customer is responsible for the acts and omissions of its users and administrators.

3. Customer Data

“Customer Data” means information, content, files, records, documents, communications, spreadsheet information, configurations, and other information submitted, uploaded, entered, imported, synchronized, or otherwise provided to AtlasXT by or on behalf of Customer.

As between Customer and AtlasXT, Customer retains its rights in Customer Data.

Customer grants AtlasXT a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, display, and otherwise use Customer Data only as reasonably necessary to:

  • provide and operate the Services;
  • perform functions requested by Customer;
  • provide customer support;
  • maintain integrations;
  • maintain security;
  • prevent fraud, abuse, or unauthorized access;
  • troubleshoot and diagnose technical problems;
  • maintain backups and disaster recovery;
  • comply with applicable law;
  • enforce these Terms or another applicable agreement; and
  • create aggregated, statistical, de-identified, or anonymized information that does not reasonably identify Customer or an individual.

AtlasXT does not acquire ownership of Customer Data.

4. Customer Responsibilities

Customer is solely responsible for Customer Data and for determining what information is submitted to or processed through the Services.

Customer represents and warrants that it has all rights, permissions, licenses, notices, and consents necessary for AtlasXT to process Customer Data as contemplated by the Services and applicable agreements.

Customer is responsible for:

  • the legality and accuracy of Customer Data;
  • obtaining required permissions and consents;
  • configuring user access;
  • administrator permissions;
  • integration permissions;
  • retention decisions;
  • providing legally required notices;
  • complying with applicable laws; and
  • determining whether the Services are appropriate for Customer’s intended use.

AtlasXT is not responsible for determining whether Customer has the legal right to collect, upload, import, process, or disclose Customer Data.

5. Google Integration and Google Sheets

AtlasXT may provide an optional integration with Google.

The Google Sheets integration is designed to provide read-only importing of Google Sheets data.

AtlasXT does not use the Google Sheets integration to modify, overwrite, or delete the source Google Sheet.

Before connecting a Google account or importing information, you must have permission to:

  1. access the applicable Google account;
  2. access the applicable Google Sheets;
  3. provide the applicable information to AtlasXT; and
  4. authorize AtlasXT to import the information.

You may disconnect the Google integration at any time.

Disconnecting the integration prevents future authorized API access but does not automatically delete information previously imported into AtlasXT.

Google services are governed by Google’s own terms, policies, and privacy practices.

6. OAuth Credentials

When you authorize a third-party integration, AtlasXT may receive access tokens, refresh tokens, authorization codes, or similar credentials.

AtlasXT may store such credentials when reasonably necessary to maintain an authorized integration.

AtlasXT will use such credentials only for the authorized integration and purposes disclosed to you.

You may revoke or disconnect an integration.

Revocation does not necessarily delete information previously imported into AtlasXT.

7. Artificial Intelligence Features

AtlasXT may offer optional artificial intelligence (“AI”) functionality.

AI functionality is user-initiated.

When you intentionally invoke an AI feature, AtlasXT may transmit content selected or submitted by you to OpenRouter and the applicable underlying AI model provider for purposes of providing the requested AI functionality.

AtlasXT does not transmit all Customer Data to AI providers merely because the information is stored in AtlasXT.

You are responsible for determining whether information is appropriate to submit to an AI feature.

AI-generated output may be inaccurate, incomplete, biased, or otherwise unsuitable for a particular purpose. You are responsible for reviewing AI-generated output before relying upon it.

8. Third-Party Services

AtlasXT uses or may integrate with third-party services, including:

  • Amazon Web Services — hosting, databases, file storage, infrastructure, security, and logging;
  • Google — account authorization and Google Sheets access;
  • Twilio and SendGrid — SMS and email notifications;
  • OpenRouter and applicable model providers — optional user-initiated AI functionality;
  • Microsoft Entra ID or another customer-selected identity provider — optional enterprise SSO; and
  • Logflare — application diagnostics and logging.

Third-party services may be subject to their own terms, privacy policies, security practices, and service limitations.

AtlasXT is not responsible for the independent acts or omissions of third-party services, except to the extent expressly required by an applicable written agreement between AtlasXT and Customer.

9. Acceptable Use

You may not use the Services to:

  • violate applicable law;
  • violate another person’s rights;
  • infringe intellectual property rights;
  • obtain unauthorized access;
  • circumvent security or authentication controls;
  • introduce malicious software or code;
  • interfere with the Services;
  • conduct unauthorized security testing;
  • scrape or extract data except through authorized functionality;
  • reverse engineer the Services except where legally permitted;
  • impersonate another person or organization;
  • facilitate fraud or unlawful activity;
  • upload information you do not have permission to use;
  • access another customer’s information;
  • interfere with another customer’s use of the Services;
  • circumvent applicable usage limits; or
  • create an unreasonable security, legal, or operational risk.

10. Customer Administrators

Customer may designate administrators who may have broad authority over Customer’s account.

Administrators may be able to manage:

  • users;
  • permissions;
  • integrations;
  • Customer Data;
  • account settings;
  • features;
  • logs;
  • subscriptions; and
  • other account functionality.

Customer is responsible for selecting and managing its administrators.

11. Fees

Fees and payment terms are established through the applicable order form, subscription agreement, pricing page, or other applicable agreement.

Unless otherwise stated, fees are non-refundable except where required by law or expressly agreed in writing.

Customer is responsible for applicable taxes other than taxes imposed on AtlasXT’s net income.

12. Suspension

AtlasXT may suspend or restrict access to the Services where reasonably necessary to:

  • protect the Services;
  • protect Customer or another party;
  • address a security threat;
  • investigate abuse;
  • prevent fraud;
  • address nonpayment;
  • address a material breach;
  • comply with law; or
  • prevent material harm.

AtlasXT may take immediate action where reasonably necessary.

13. Termination

Customer may terminate the Services according to its applicable subscription or written agreement.

AtlasXT may suspend or terminate access for material breach, unlawful activity, security risks, abuse, nonpayment, fraudulent activity, or circumstances where continued provision of the Services would create material legal or operational risk.

Upon termination, Customer Data will be handled in accordance with the applicable agreement, Privacy Policy, and Data Processing Addendum.

14. Data Export and Deletion

Where AtlasXT provides export functionality, Customer may export available Customer Data subject to applicable functionality, subscription level, technical limitations, and security requirements.

Customer is responsible for maintaining appropriate independent backups.

Following termination or an applicable deletion request, AtlasXT may retain information where reasonably necessary for:

  • legal obligations;
  • security;
  • fraud prevention;
  • dispute resolution;
  • legal holds;
  • backup systems;
  • accounting;
  • enforcement of agreements; or
  • other lawful purposes.

15. Intellectual Property

AtlasXT and its licensors retain all rights, title, and interest in the Services and AtlasXT’s technology, software, interfaces, designs, workflows, documentation, trademarks, logos, methodologies, and other materials.

Except as expressly provided, no ownership rights are transferred to Customer.

16. Feedback

If you provide suggestions, recommendations, ideas, or feedback concerning the Services, AtlasXT may use that feedback without restriction or compensation, provided AtlasXT does not disclose Customer Confidential Information in doing so.

17. Confidentiality

Each party may receive confidential information from the other party.

The receiving party will use reasonable care to protect confidential information and will use it only for permitted purposes.

Confidential information does not include information that:

  • is publicly available without breach;
  • was lawfully known before disclosure;
  • is independently developed; or
  • is lawfully obtained without confidentiality obligations.

A party may disclose confidential information when legally required, provided notice is given where legally permitted.

18. Security

AtlasXT maintains reasonable administrative, technical, and organizational safeguards designed to protect information.

However, no system or transmission method can guarantee absolute security.

Customer is responsible for its own credentials, users, administrators, endpoints, integration authorization, configurations, and appropriate use of the Services.

19. Regulated Information

Unless expressly agreed in writing, Customer may not use the Services to process regulated information requiring specialized controls that AtlasXT has not expressly agreed to provide.

Unless a separate Business Associate Agreement has been executed, Customer may not use the Services to process Protected Health Information on behalf of a HIPAA Covered Entity or Business Associate.

20. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”

ATLASXT DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

AtlasXT does not warrant that the Services will be uninterrupted, error-free, secure, continuously available, compatible with every third-party service, preserve every item of data, or satisfy Customer’s particular legal, regulatory, or business requirements.

21. No Professional Advice

The Services do not provide legal, medical, financial, accounting, investment, regulatory, or other professional advice.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATLASXT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OPPORTUNITY, OR DATA.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATLASXT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE FEES PAID OR PAYABLE BY CUSTOMER TO ATLASXT FOR THE SERVICES DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) US $100.

Nothing in these Terms excludes liability that cannot legally be excluded.

23. Indemnification

To the maximum extent permitted by law, Customer will defend, indemnify, and hold harmless AtlasXT and its affiliates, officers, directors, employees, contractors, agents, and licensors from claims, damages, liabilities, losses, costs, and reasonable attorneys’ fees arising from:

  • Customer Data;
  • Customer’s violation of these Terms;
  • Customer’s failure to obtain necessary permissions or consents;
  • Customer’s violation of third-party rights;
  • Customer’s unlawful use of the Services; or
  • Customer’s violation of applicable law.

24. Force Majeure

AtlasXT is not responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, governmental action, telecommunications failures, Internet failures, cloud-service failures, power failures, cyberattacks, labor disputes, or similar events.

25. Changes to the Services

AtlasXT may modify or discontinue features or Services.

AtlasXT will use reasonable efforts to provide notice of material changes where reasonably practicable.

26. Changes to These Terms

AtlasXT may update these Terms from time to time.

Material changes may be communicated through the Services, website, email, or another reasonable method.

Where required by law, Customer will have an opportunity to reject materially modified terms.

27. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.

Subject to applicable law and any separately negotiated agreement, disputes will be subject to the jurisdiction of the state and federal courts located in Utah.

28. Dispute Resolution

Before filing a claim, the parties will attempt in good faith to resolve the dispute through written notice and a thirty-day resolution period.

Either party may seek emergency equitable relief when necessary to protect confidential information, intellectual property, security, or other rights.

29. Assignment

Customer may not assign these Terms without AtlasXT’s prior written consent, except in connection with a merger, acquisition, or sale of substantially all assets.

AtlasXT may assign these Terms in connection with a merger, acquisition, financing, restructuring, reorganization, or sale of assets.

30. Severability

If any provision is determined to be invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect.

31. Waiver

A failure to enforce any provision does not constitute a waiver of that provision.

32. Entire Agreement

These Terms, the Privacy Policy, Data Processing Addendum, applicable order forms, subscription agreements, and documents expressly incorporated by reference constitute the agreement concerning the Services.

33. Survival

Provisions concerning ownership, confidentiality, Customer Data, payment, disclaimers, limitations of liability, indemnification, dispute resolution, and provisions that by their nature should survive termination will survive termination.
